These Terms of Service ("Terms") govern your access to and use of the Laurel Shield website at security.laurelshield.com (the "Site") and any cybersecurity consulting services provided by Laurel Shield ("we," "us," or "our"). By accessing this Site or engaging our services, you agree to these Terms.
1. Use of This Website
You may use this Site for lawful purposes only. You agree not to:
- Attempt to gain unauthorized access to any portion of the Site, its servers, or connected systems.
- Use automated tools (scrapers, bots, crawlers) to extract content without written permission.
- Transmit malware, viruses, or any harmful code through the Site.

2. Services Overview
Laurel Shield provides cybersecurity consulting services including, but not limited to, penetration testing, compliance audits, security assessments, managed security operations, virtual CISO services, and AI security consulting.
All consulting engagements are governed by separate Statements of Work (SOW) and Master Service Agreements (MSA) executed between Laurel Shield and the client. In the event of conflict between these Terms and a signed SOW/MSA, the SOW/MSA shall prevail.
3. Authorization and Scope
All security testing and assessment activities performed by Laurel Shield require explicit written authorization from the client. We will only test systems, networks, and applications within the agreed-upon scope. Any testing performed without proper authorization is strictly prohibited and is not endorsed by Laurel Shield.
4. Confidentiality
We treat all client information, findings, and deliverables as strictly confidential. Our obligations include:
- All engagement data is handled under NDA (Non-Disclosure Agreement) terms.
- Assessment findings, reports, and recommendations are shared only with authorized client personnel.
- We do not disclose client identities, vulnerabilities, or engagement details to third parties without explicit consent.
- Client testimonials on this Site are used with permission; names may be altered to protect confidentiality.
5. Intellectual Property
Our content: All content on this Site — including text, graphics, logos, icons, and code — is the property of Laurel Shield and is protected by copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
Deliverables: Reports, assessments, and other deliverables created during engagements are licensed to the client as specified in the applicable SOW/MSA. Laurel Shield retains ownership of proprietary methodologies, tools, and templates.
6. Disclaimer of Warranties
This Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied.
While we strive for accuracy, we do not warrant that:
- The Site will be uninterrupted, error-free, or free of harmful components.
- Information on the Site is complete, current, or applicable to your specific situation.
- Security assessments will identify every vulnerability in a system (no security assessment can guarantee 100% coverage).
7. Limitation of Liability
To the maximum extent permitted by law, Laurel Shield shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:
- Your use of or inability to use the Site.
- Decisions made based on information provided on the Site.
- Any unauthorized access to or alteration of your data.
Our total liability for any claim arising from consulting services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim, unless otherwise specified in the applicable SOW/MSA.
8. Indemnification
You agree to indemnify and hold Laurel Shield harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your violation of these Terms or misuse of our Site or services.
9. Third-Party Links and Services
This Site may contain links to third-party websites or reference third-party tools and frameworks. These are provided for informational purposes only. We do not endorse or assume responsibility for third-party content, products, or services.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
